甲、乙双方经过友好协商，本着平等互利、友好合作的意愿达成本协议书，并郑重声明共同遵守：

一、双方本着平等互利、诚实信用的原则，经友好协商签订本协议。

二、甲方同意按照本协议的规定,授权乙方为其在加拿大进行商业咨询及市场拓展服务。

三、乙方提供的咨询服务范围仅限如下：

      1.为甲方提供商业咨询及市场拓展服务。

四、甲方的责任范围：

积极协助乙方提供本公司相关信息，不得为乙方提供虚假、不实或违反国家法律法规的信息。

五、费用的支付

    1.本协议书所涉及的费用的货币单位均为人民币。

    2.本协议总费用为：7万元整。

    3.本协议一经签定，甲方需向乙方支付咨询费用，乙方为甲方开具收据；在成功通过初审后，乙方为甲方开具正式发票。

六、乙方发生的通讯、交通等费用由乙方承担。甲方发生的通讯、交通以及向有关部门交纳的费用由甲方承担。

七、若由于乙方原因造成咨询失败，乙方向甲方退还甲方交纳的全部咨询费用。并退还甲方全部资料。

八、协议提前解除的约定：

签订本协议后，甲方若提前解除本协议，甲方应付给乙方违约金：__7万_____元。

九、乙方免责的约定：

    1.甲方应对提供的材料的真实性负全部责任，如果因为材料不真实造成的一切后果，均由甲方承担，与乙方无关。

    2.甲方应自觉地严格依法进行公司管理。乙方对于甲方提供的内容所涉及之正确性、著作权归属，或是其合法性或正当性如何，并不负任何责任。甲方必须保证对其提供的影视资源享有版权及其他合法权利，并且不会侵害任何第三方的合法权益。甲方若散布和传播反动、色情或其他任何违反国家法律法规的信息，或进行其他任何违法活动，乙方不负任何责任。甲方通过自身进行商务活动所引起的经济纠纷与乙方无关。如因甲方违反上述保证引起的任何争议，甲方应负责解决。如甲方违反本条款规定的任何义务，给乙方造成损失，甲方必须负责相应的赔偿。

十、乙方和甲方在执行协议中发生的一切争执应通过双方友好协商解决。

十一、由于人力不可抗拒因素，如火灾，水灾，地震，雷击等自然灾害或者罢工、战争、政府强制措施、政府政策变更等原因而影响本协议的执行，双方不负违约责任，根据事故影响的时间可将协议履行时间相应延长。若因不可抗拒因素造成咨询服务失败，乙方将扣除甲方咨询服务费用的10%作为手续费。

十二、协议的生效及其它：

    1.本协议签字盖章和授权代表签字后即时生效。协议正本一式两份，甲乙双方各执一份，具有同等效力。

    2.本协议有效期为一年。

    　3.本协议未尽事宜由甲乙双方另行协商。

Based on friendly consultation, Party A and B sign this agreement according to equality and mutual benefit, friendship and cooperation, and solemnly declare to abide by:

1. Both sides enter into this agreement based on friendly consultations, equality and mutual benefit, honesty and credit.

2. Party A agreed to authorize Party B to provide its business consulting and marketing services according to the provisions of this Agreement in Canada.

3. The consulting services provided by Party B are limited to the following:

   　(1) Business consulting and marketing services of Party A.

11. Due to force majeure such as fire, flood, earthquake, lightning or other natural disasters, strikes, war, governmental enforcement measures, changes in government policies and other factors affecting the implementation of this agreement, both parties will not assume any liability for breach, under the effects of the accident, the time for contact performance will be extended by agreement. If the consulting services fail as a result of irresistible factors, Party B will deduct 10% of the consulting cost as service charge.

12. Commencement and other terms:

  (1) The agreement  will take effect immediately after signing and sealing of both parties’ authorized representatives. Agreement in duplicate originals, each party holds one, with the same effect.

   (2) This agreement is valid for one year.

   　(3) Other matters not covered in this Agreement will be negotiated by both parties.
